By accessing or using Authenticated.ai services (the "Service"), a subsidiary of Satschel Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service. These Terms constitute a legally binding agreement between you and Authenticated.ai.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

Description of Service

Authenticated.ai provides authentication services for collectibles, memorabilia, and valuable items using advanced technology including:

• Physical item inspection and authentication by expert specialists
• AuthPrint digital signature technology to capture unique physical characteristics
• Blockchain-based certificate of authenticity stored on the Arbitrum network
• Digital provenance records and verification services
• Mobile application for instant authentication verification

The Service is designed to provide permanent, tamper-proof authentication records that transfer with the authenticated item throughout its ownership history.

User Account and Responsibilities

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Prohibited Uses

You agree not to:

• Submit counterfeit or fraudulent items for authentication
• Misrepresent the authenticity or provenance of items
• Use the Service for any illegal or unauthorized purpose
• Attempt to circumvent or manipulate our authentication processes
• Interfere with or disrupt the Service or servers
• Use automated systems or bots to access the Service
• Copy, reproduce, or reverse engineer any part of our technology

Authentication Process and Guarantees

Authentication Procedure

Our authentication process involves expert examination, AuthPrint digital signature capture, and blockchain registration. While we employ rigorous standards and advanced technology, authentication is based on current knowledge and available methods.

Accuracy and Limitations

We strive for the highest accuracy in our authentication services. However:

• Authentication opinions are based on current expertise and technology
• Counterfeit methods continue to evolve and improve
• No authentication service can provide absolute certainty
• We reserve the right to revise authentication opinions if new information becomes available

Blockchain Records

Authentication records stored on the Arbitrum blockchain are permanent and immutable. Once recorded, this information cannot be deleted or modified. You acknowledge and accept this permanence when submitting items for authentication.

Fees and Payment

Service Fees

Authentication services require payment of applicable fees. Fees are:

• Clearly displayed before service confirmation
• Generally one-time fees per item authenticated
• Non-refundable once authentication services have commenced
• Subject to change with notice on our website

Payment Terms

Payment is due at the time of service request unless otherwise arranged. We accept major credit cards and other payment methods as displayed on our platform. You authorize us to charge your payment method for all fees incurred.

Refund Policy

Fees are non-refundable once authentication work has begun. If you cancel a service request before work commences, you may be eligible for a full or partial refund at our discretion.

Intellectual Property Rights

Our Property

The Service, including all software, technology, designs, AuthPrint methodology, and content, is owned by Authenticated.ai and Satschel Inc. and is protected by intellectual property laws. Our trademarks, including "Authenticated.ai," "AuthPrint," and related logos, are our exclusive property.

Your Content

When you submit items for authentication, you grant us a license to:

• Photograph and digitally capture your items
• Store images and data in our systems and on the blockchain
• Use authentication records to provide ongoing verification services
• Display anonymized authentication data for research and improvement purposes

You retain ownership of your physical items and their associated authentication records.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• Our total liability shall not exceed the fees you paid for the specific service in question
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for market value fluctuations of authenticated items
• We are not liable for decisions made by buyers or sellers based on authentication results
• We are not liable for blockchain network failures or cryptocurrency value changes

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Authenticated.ai, Satschel Inc., and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your submission of fraudulent or counterfeit items
• Your violation of any third-party rights
• Your misuse of authentication results or certificates

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. The courts of Harris County, Texas shall have exclusive jurisdiction over any disputes arising from these Terms or the Service.

Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to contact us at info@authenticated.ai to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a mutually acceptable resolution.

Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Houston, Texas. You waive any right to a jury trial or to participate in a class action lawsuit.

Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, for any reason including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abusive behavior toward our staff or other users

Upon termination, your right to use the Service immediately ceases. Blockchain-recorded authentication data will remain permanently on the blockchain and cannot be deleted. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Changes to Terms

We may modify these Terms at any time. Material changes will be notified to you via:

• Email to your registered address
• Notice on our website
• In-app notification

Changes become effective 30 days after notification, or immediately upon your continued use of the Service, whichever is sooner. If you do not agree to the modified Terms, you must discontinue using the Service.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Authenticated.ai regarding the Service. They supersede all prior agreements, communications, and proposals, whether oral or written.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
